Terms of Service

Last updated: 2026-10-28. Governing law: Philippines.

1. Acceptance of these terms

By creating an account, subscribing to a plan, or using TideDesk software (the "Service"), you agree to these Terms of Service ("Terms"). If you use TideDesk on behalf of a business (a resort, guesthouse, or villa), you represent that you have authority to bind that business.

If you are reading this as a guest of a resort: these are TideDesk's terms with the property, not your terms of stay. Your booking terms (including rates, cancellation policy, and deposit obligations) are the resort's own, and the resort is solely responsible for honouring them.

2. Definitions

"TideDesk," "we," and "us" refer to the Service and its operators. "Resort" or "Owner" means the accommodation provider who subscribes to TideDesk. "Guest" means a person who books a stay at a Resort through the Resort's booking page. "Booking page" means the public-facing page generated by TideDesk for a Resort. "Payment provider" means PayMongo or any bank/e-wallet the Resort uses directly.

3. Accounts and security

You must provide a valid email address and maintain the security of your credentials. You are responsible for all activity under your account, including activity by staff members you invite. Notify us immediately of unauthorised access. We may suspend an account that we reasonably believe is compromised or used in breach of these Terms.

4. Subscriptions and billing

TideDesk subscriptions are billed monthly or annually through PayMongo (GCash, Maya, QR Ph, or card). Plans: Cove, Island, and Group. Annual billing is priced at 10× the monthly rate (2 months free). Founding-100 is available on the Cove plan only, at ₱999/month (or 10× that billed annually), price-locked for 12 months from first paid activation and capped at 100 paid founding subscriptions in total. The lock is a price guarantee, not a minimum term: founding cycles are prepaid and never renew automatically, like every other plan. A founder who moves to Island or Group pays that plan's regular price.

Your 14-day trial starts on the Cove plan and requires no payment card. When the trial ends, you must choose a paid plan to continue using the Service. Plan periods are prepaid: each payment activates one cycle, and renewal is not automatic. You pay your next cycle from Billing (renewal opens in the final week of each period), and we email your workspace's notification address a few days before a paid period ends. If a period ends without payment, new bookings pause until you pay a new cycle; your existing reservations stay manageable.

Taxes: the prices below are the amounts charged and are inclusive of Philippine VAT where TideDesk is VAT-registered. Current prices (Philippine pesos): Cove ₱1,990 per month or ₱19,900 per year; Island ₱3,990 per month or ₱39,900 per year; Group ₱7,990 per month or ₱79,900 per year; Founding-100 ₱999 per month or ₱9,990 per year while it lasts. We give at least 30 days' notice before any price change applies to your next cycle, and the founding price is locked for 12 months from first paid activation.

SMS allowance: each plan includes a monthly SMS allowance (Cove 300, Island 1,000, Group 3,000). Sending pauses when the allowance is exhausted; there are no automatic overage charges.

Refunds: see our Refund Policy.

5. Payment processing

TideDesk never holds, receives, or transmits customer funds. Deposits are collected by the Resort through the Resort's own payment provider account. TideDesk records payment status but never adjudicates disputes; disputes over deposits are contracts between Resort and Guest.

Online payments (PayMongo): deposits are collected through the Resort's own PayMongo merchant account. TideDesk records verified payment events to confirm bookings. Refunds and voids are processed in the Resort's PayMongo dashboard under the Resort's own policy. PayMongo's own processing fees apply.

Offline payments (bank transfer, e-wallet, cash): a Resort may configure offline payment instructions. TideDesk displays these instructions to the Guest and records the Guest's declared reference number. The Resort is solely responsible for verifying that the money actually arrived before confirming the booking. TideDesk records who declared a payment and who verified it, but the source of truth is the Resort's own bank or wallet statement.

Walk-in and cash-at-desk bookings: the Resort may record cash collected in person against a stay. This is a booking record, not a payment processed through TideDesk.

6. Acceptable use

You agree not to: use the Service for any unlawful purpose; send unauthorised marketing or spam to Guests; misrepresent room availability or pricing; scrape, reverse-engineer, or resell the Service; or use the Service to discriminate against any person. Transactional messages to Guests must respect the quiet-hours policy (20:00-08:00 PHT) and STOP opt-outs.

7. Data ownership and processing

You own your data. Guest personal data collected through your booking page is processed by TideDesk as a personal information processor on your instructions under RA 10173 (Data Privacy Act of 2012); you remain the personal information controller. See our Privacy Notice for details on what we process, retention, and third-party subprocessors.

Our processing obligations as your processor. When we process guest personal data for you we will: (a) process it only on your documented instructions and for the purposes of the Service; (b) keep it confidential, and ensure our staff and contractors who access it are bound by confidentiality; (c) apply the technical and organizational measures described in the Privacy Notice (encryption in transit, encryption at rest for secrets and payment proofs, row-level access rules, role-scoped access, rate limiting, audit logging); (d) assist you in responding to data-subject requests and in meeting your own DPA obligations, including breach notification: we notify you without undue delay after becoming aware of a personal-data breach affecting your data, with the information you need to report it; (e) use only the subprocessors named in the Privacy Notice, and tell you before adding or replacing one so you can object; (f) on termination, return or delete guest personal data at your choice, except where a law requires us to keep it; and (g) make available the information reasonably necessary to show compliance with this section.

Owner responsibilities. As controller you are responsible for the lawfulness of the data you collect (including any consent to send marketing to your guests), for the accuracy of your listing and pricing, and for your own notices and retention policies covering your guests.

7a. Consumer rights and non-waivable terms

Nothing in these Terms excludes or limits any right you have under Philippine law that cannot be waived, including rights under the Consumer Act of the Philippines (RA 7394) and the Data Privacy Act. If any provision is held unenforceable, the rest remains in force and the unenforceable provision is read down to the minimum extent permitted.

7b. Eligibility

You must be at least 18 years old and legally able to enter into contracts to hold an owner account. Accounts must be registered with a valid email address you control; you are responsible for the activity of staff you invite.

8. Service availability

We host TideDesk on managed infrastructure (Vercel, Supabase) and design for reliability. However, we do not guarantee uninterrupted service. Scheduled maintenance and third-party outages (payment providers, SMS gateways, cloud hosting) may affect availability. We will make reasonable efforts to communicate planned maintenance in advance.

9. Support

Every plan gets the same support: a Help page in your workspace where owners and managers file a request and receive replies in the dashboard, plus email where a support address is published. Replies come from the TideDesk team, usually within one business day; this is our working norm, not a guaranteed response time, and no plan currently has a faster tier. Done-for-you setup is available on request on any plan and is quoted by the TideDesk team before any work starts.

10. Intellectual property

TideDesk retains all rights to the Service, its software, design, and branding. You retain all rights to your content: property names, photos, descriptions, room types, and cancellation policies. You grant us a limited licence to display your content on your booking page and to process it as necessary to provide the Service.

11. Limitation of liability

To the maximum extent permitted by law, TideDesk is not liable for: lost profits or revenue; loss of business opportunity; loss of bookings caused by the Resort's failure to manage availability, room settings, or payment connections; or indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim is limited to the subscription fees you paid us in the twelve (12) months preceding the claim.

TideDesk is not a party to any contract between a Resort and a Guest. We are not liable for the Resort's acts or omissions, including failure to honour a confirmed booking, provide the room as described, or refund a deposit.

12. Indemnification

You agree to indemnify and hold harmless TideDesk from any claim, demand, loss, or expense arising from your use of the Service, your content, your dealings with Guests, or your breach of these Terms.

13. Termination

Plans are prepaid one cycle at a time and never renew or charge automatically, so there is nothing to cancel to stop paying: simply do not pay the next cycle. Access continues until the end of the period you paid for; after that your workspace pauses: new bookings and setup changes (settings, room types, properties) stop, while your existing reservations stay viewable and their status can still be updated. Paying a new cycle from Billing at any time resumes it. To close your workspace entirely, or to request an export or deletion of your booking data, file a request from your workspace Help page (it stays available while your plan is paused) or use the contact in section 18; requests are handled by the TideDesk team, not by a self-serve button. We may terminate your account for breach of these Terms with 14 days' notice (or immediately for fraud, abuse, or a material security risk).

14. Changes to these terms

We may update these Terms. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

15. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of the Philippines. Any dispute shall be resolved exclusively in the courts of Cebu City, Philippines, unless otherwise agreed in writing.

16. Force majeure

Neither party is liable for a failure or delay caused by events beyond its reasonable control, including typhoons and other severe weather, power or internet outages, cloud or telecom failures, and government action. We still make reasonable efforts to keep your data safe and to restore the Service.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

18. Contact

Questions about these Terms? File a request from your workspace Help page (owners and managers; available while your plan is paused too).
